BSJ Company LLC (“BSJ,” “Carrier,” “we,” “us,” or “our”) is a Florida-based freight transportation company providing cargo transportation and delivery services pursuant to applicable federal, state, and local laws and regulations.

These Terms & Conditions establish the general rules governing transportation services provided by BSJ Company LLC to shippers, customers, businesses, brokers, logistics companies, and other authorized parties (“Customer”).

1. ACCEPTANCE OF TERMS

By requesting, booking, tendering, or accepting transportation services from BSJ Company LLC, the Customer agrees to these Terms & Conditions, together with any applicable:

  • Rate confirmation

  • Transportation agreement

  • Bill of lading

  • Shipping instructions

  • Written service agreement

  • Purchase order

  • Customer-specific requirements accepted by BSJ

If a written transportation agreement specifically applies to a shipment and conflicts with these Terms, the applicable written agreement will control to the extent permitted by law.

2. CARRIER STATUS

BSJ Company LLC provides transportation services as a motor carrier when operating under its applicable authority.

BSJ does not represent itself as a freight broker unless separately authorized and contracted to provide brokerage services.

For-hire interstate carriers may be subject to FMCSA registration and operating-authority requirements depending on their operation.

3. SERVICE AREA

BSJ Company LLC is based in Florida and may provide transportation services throughout Florida and other areas of the United States, subject to:

  • Available equipment

  • Driver availability

  • Customer requirements

  • Applicable operating authority

  • Cargo restrictions

  • Insurance requirements

  • Federal and state regulations

  • Road and weather conditions

Acceptance of a shipment does not guarantee that BSJ will accept future shipments.

4. LOAD ACCEPTANCE

BSJ reserves the right to accept or decline a shipment.

Before accepting a load, BSJ may evaluate:

  • Origin and destination

  • Commodity

  • Weight and dimensions

  • Pickup and delivery requirements

  • Required delivery time

  • Equipment requirements

  • Insurance requirements

  • Special handling requirements

  • Regulatory restrictions

  • Driver and equipment availability

  • Overall safety considerations

BSJ may decline a shipment that presents an unreasonable safety, legal, insurance, operational, or financial risk.

5. PROHIBITED OR RESTRICTED CARGO

Customers must accurately disclose the nature of all freight.

BSJ may refuse cargo that is:

  • Illegal

  • Improperly packaged

  • Unsafe

  • Misdeclared

  • Overweight

  • Improperly secured

  • Hazardous without appropriate authorization

  • Outside BSJ’s insurance or operating authority

  • Otherwise unsuitable for the equipment or service requested

Hazardous materials will only be accepted when BSJ is properly authorized, equipped, insured, and qualified to transport the material.

6. SHIPPER RESPONSIBILITIES

The Customer is responsible for providing accurate information concerning:

  • Cargo description

  • Quantity

  • Weight

  • Dimensions

  • Pickup location

  • Delivery location

  • Contact information

  • Special handling instructions

  • Delivery requirements

  • Declared value when applicable

The Customer must properly package and prepare freight for transportation unless BSJ has expressly agreed in writing to provide such services.

7. CARGO LOADING AND SECUREMENT

BSJ will follow applicable cargo securement and safety requirements.

FMCSA cargo-securement rules require applicable cargo to be properly immobilized or secured to prevent shifting, falling, leaking, or other unsafe movement.

BSJ may refuse to transport freight when:

  • Cargo cannot be safely secured;

  • Cargo exceeds equipment limitations;

  • Cargo is improperly packaged;

  • Loading creates an unsafe condition; or

  • Required information has not been provided.

8. PICKUP PROCEDURE

Drivers should:

  1. Arrive at the designated pickup location.

  2. Verify shipment information.

  3. Confirm the freight being tendered.

  4. Inspect the shipment when reasonably possible.

  5. Verify loading and securement requirements.

  6. Obtain required shipping documentation.

  7. Record pickup time.

  8. Depart when the shipment is properly loaded and safe for transportation.

9. DELIVERY PROCEDURE

At delivery, BSJ may:

  1. Confirm the delivery location.

  2. Verify the receiving party.

  3. Deliver the shipment.

  4. Obtain proof of delivery.

  5. Record delivery date and time.

  6. Document exceptions, shortages, visible damage, or refused freight.

  7. Submit required documentation to the Customer.

10. PROOF OF DELIVERY

Proof of delivery may include:

  • Signed bill of lading

  • Electronic delivery confirmation

  • Delivery receipt

  • Digital signature

  • Name of receiving party

  • Date and time of delivery

  • Delivery photographs when appropriate

Customers should retain their shipping documentation for their records.

11. DELIVERY TIMES

BSJ will make reasonable efforts to meet agreed pickup and delivery appointments.

However, delivery times may be affected by:

  • Traffic

  • Weather

  • Road closures

  • Vehicle breakdowns

  • Accidents

  • Loading or unloading delays

  • Customer delays

  • Facility closures

  • Government restrictions

  • Safety requirements

  • Other circumstances outside BSJ’s reasonable control

BSJ does not guarantee an exact delivery time unless specifically agreed to in a written contract.

12. DRIVER SAFETY

Safety takes priority over delivery deadlines.

BSJ will not require or knowingly permit a driver to operate in violation of applicable safety requirements.

Where applicable, drivers must comply with federal hours-of-service requirements. FMCSA’s current guidance generally applies HOS requirements to qualifying commercial motor vehicles and drivers.

A driver may delay, stop, or refuse transportation when continuing would create an unsafe or unlawful condition.

13. CUSTOMER COMMUNICATION

Customers should provide accurate contact information and remain reasonably available during transportation.

BSJ may provide updates concerning:

  • Pickup

  • Transit status

  • Delays

  • Delivery

  • Exceptions

  • Documentation

  • Cargo issues

Customers should promptly communicate any changes affecting the shipment.

14. RATES AND TRANSPORTATION CHARGES

Transportation rates may be established through:

  • Written quote

  • Rate confirmation

  • Transportation agreement

  • Contract

  • Customer account agreement

  • Other written authorization

Additional charges may apply when services differ from the originally agreed shipment, including approved:

  • Detention

  • Waiting time

  • Additional stops

  • Redelivery

  • Storage

  • Special handling

  • Accessorial services

  • Changes in shipment requirements

15. PAYMENT TERMS

Payment terms will be established by the applicable invoice, contract, rate confirmation, or customer agreement.

Unless otherwise agreed in writing, invoices are due according to the payment terms stated on the invoice.

Past-due balances may result in:

  • Suspension of services

  • Collection activity

  • Applicable late charges where legally permitted

  • Recovery of reasonable collection costs where permitted by contract and law

16. CARGO LOSS OR DAMAGE

BSJ will handle cargo claims according to applicable federal and state law and any governing transportation agreement.

Customers should immediately notify BSJ of visible loss or damage and preserve relevant documentation and photographs.

Claims should include sufficient information to identify:

  • Shipment

  • Bill of lading

  • Delivery date

  • Nature of loss or damage

  • Amount claimed

  • Supporting documentation

Federal regulations address processing of loss and damage claims for motor carriers, and applicable claim procedures should be followed.

17. LIMITATIONS REGARDING CLAIMS

Nothing in these Terms is intended to waive or reduce any liability that cannot legally be waived or limited.

Any limitation of liability, cargo valuation, declared value, insurance requirement, or claim procedure will be governed by applicable law and the specific transportation agreement governing the shipment.

18. CUSTOMER-PROVIDED INFORMATION

Customers must provide accurate information.

BSJ is not responsible for delays or additional costs caused by inaccurate or incomplete information supplied by the Customer.

19. CANCELLATIONS

Customers should provide cancellation notice as early as reasonably possible.

Depending upon the circumstances, cancellation or service charges may apply when BSJ has already:

  • Dispatched equipment;

  • Assigned a driver;

  • Arrived at pickup;

  • Begun transportation;

  • Incurred non-refundable expenses; or

  • Reserved capacity specifically for the shipment.

20. DETENTION AND WAITING TIME

When a driver is required to wait beyond the agreed loading or unloading period, additional charges may apply if provided in the applicable rate confirmation or customer agreement.

BSJ may document:

  • Arrival time

  • Appointment time

  • Loading start time

  • Loading completion time

  • Delivery arrival time

  • Unloading completion time

21. STORAGE AND ABANDONED FREIGHT

BSJ may take reasonable steps to protect freight when delivery cannot be completed.

Additional transportation, storage, handling, redelivery, or other charges may apply where legally permitted and provided under the applicable agreement.

22. FORCE MAJEURE

BSJ is not responsible for failure or delay caused by circumstances beyond its reasonable control, including:

  • Severe weather

  • Natural disasters

  • Accidents

  • Road closures

  • Government actions

  • Labor disruptions

  • Emergencies

  • Equipment failures

  • Security events

  • Acts of third parties

  • Other extraordinary circumstances

BSJ will make reasonable efforts to communicate material delays.

23. CUSTOMER PROPERTY

Customers are responsible for ensuring that freight, packaging, pallets, containers, and other property tendered for transportation are suitable for transportation.

24. CONFIDENTIALITY

BSJ and its customers may receive confidential business information during transportation transactions.

Each party agrees to use reasonable measures to protect confidential information and not disclose it except when:

  • Required by law;

  • Necessary to perform transportation services;

  • Required by an authorized governmental agency; or

  • Authorized by the party providing the information.

25. PRIVACY

Customer information will be handled according to BSJ Company LLC’s applicable Privacy Policy.

26. COMPLIANCE

BSJ will maintain applicable registrations, operating authority, insurance, safety procedures, and other required credentials applicable to its transportation operations.

FMCSA states that insurance requirements vary based on carrier type, authority, cargo, and vehicle characteristics.

27. CUSTOMER COMPLIANCE

Customers must comply with all applicable laws and must not request BSJ to perform transportation services that would violate:

  • Federal law

  • Florida law

  • Other applicable state law

  • FMCSA regulations

  • Hazardous-material requirements

  • Weight restrictions

  • Safety requirements

  • BSJ’s operating authority or insurance limitations

28. INDEPENDENT BUSINESS RELATIONSHIP

Unless a separate written agreement states otherwise, the Customer and BSJ are independent contracting parties.

Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship.

29. NO GUARANTEE OF AVAILABILITY

BSJ does not guarantee:

  • Equipment availability

  • Driver availability

  • Load availability

  • Future contracts

  • Future transportation capacity

  • Specific routes

  • Specific delivery times

  • Continuous service availability

30. WEBSITE INFORMATION

Information displayed on the BSJ website is provided for general informational purposes and does not automatically constitute a transportation contract.

A transportation service becomes binding according to the applicable written quote, rate confirmation, transportation agreement, bill of lading, or other accepted shipment documentation.

BSJ CARRIER OPERATING PROCEDURES

Procedure 1 — Customer Intake

Before accepting a new customer, BSJ should collect:

  • Legal business name

  • Contact person

  • Business address

  • Phone

  • Email

  • Billing information

  • Shipment requirements

  • Insurance requirements

  • Payment terms

  • Required documentation

Procedure 2 — Load Review

Before accepting a shipment, verify:

Cargo → Weight → Dimensions → Origin → Destination → Equipment → Rate → Pickup → Delivery → Special Requirements

No load should be accepted until the carrier determines that it can safely and legally perform the transportation service.

Procedure 3 — Dispatch

Dispatch should document:

Procedure 7 — Documentation

After delivery, required documents should be submitted to the office for:

  • Billing

  • Recordkeeping

  • Customer reporting

Procedure 8 — Incident Reporting

Any accident, cargo damage, theft, roadside emergency, injury, or significant operational incident should be reported to management as soon as reasonably possible.

The driver should prioritize:

SAFETY → EMERGENCY RESPONSE → SECURE CARGO → NOTIFY MANAGEMENT → DOCUMENT INCIDENT

Procedure 9 — Cargo Claim Handling

When loss or damage is reported:

  1. Record the shipment information.

  2. Preserve photographs and documentation.

  6. Follow the applicable claim procedure.
